The project involved divestment of the equity stake of
a sick CPSU to a strategic partner

- ICICI-WINFRA’s role in the project:
This was the first Successful Central PSU divestment to a strategic
partner in India and was successfully completed in January 2000,
many months before Modern Foods and subsequent BALCO disinvestments.
There was not a single job loss.
Handled the entire International Bidding process.
Successfully negotiated on behalf of Ministry of Heavy Industries,
all terms with Phoenix AG and its international team team of legal
& financial advisors.
The entire process has survived the test of time

Great Eastern
Hotel Privatisation
The assignment involves provision of advisory services for the
selection of a suitable promoter for renovation, upgradation and
management of Great Eastern Hotel, one of the oldest and well known
hotels in the city

- ICICI-WINFRA’s scope of work in the assignment:
Prepared detailed marketing plan and marketed it to domestic
as well as international buyers in two rounds. Handled, in both
rounds, the Bid process management including preparation of ad,
evaluation of EOIs, preparing bid document, addressing bidders’
queries, evaluating bids, and selecting the successful bidder.

Andrew Yule in divesting its balance stake in Phoenix Yule
Divestment by AYCL of balance 26% stake in its existing JV with
Phoenix AG
- ICICI-WINFRA’s role in the project: Reviewed
the Joint Venture Agreement (specifically the clauses in regard
to the transfer of shares in the JV Co. amongst the promoters.)
entered into between the client and Phoenix Yule.
Arrived at the Fair Market Value of the shares of the JV Co. For
this purpose, valuation of equity shares was worked out under different
methods viz. Net Asset Value method, Discounted Cash Flow method,
P/E ratio method etc. and a report on the same was submitted.
